Marco Amorese, J.D., LL.M., Ph.D.
Marco is a corporate lawyer and litigator, with
a diverse practice covering all areas of corporate-commercial law including
mergers and acquisitions, private equity, corporate restructuring and
bankruptcy, creditors’ rights, commercial real estate and general
corporate counseling. He has completed advanced corporate law studies
in Italy and the United States, earning a doctorate (Ph.D.) in corporate
law from the University of Brescia and a Master of Laws (LL.M.) from
the Harvard Law School, where he completed his Major Paper under Professor
Reinier Kraakman in the area of securities regulation. Marco obtained
his first degree in Law from the University of Milan, where he received
his J.D. (Laurea in giurisprudenza) magna cum laude
(First Overall) and earned numerous academic awards. During this period
he also pursued legal studies as an international scholar at the Boalt
Hall School of Law of the University of California, Berkeley.
Marco has advised clients on a wide range of corporate transactions
and represented them in numerous proceedings before Italian courts and
regulatory agencies. He has particular experience in advising and representing
international clients conducting business in Italy. Notable transactions
in which he has been involved include:

Advising a British satellite communications company on the restructuring of its Italian operations.

Structuring a technology transfer joint venture between two of the leading players in a European equipment manufacturing sector.

Assisting a leading Italian manufacturer of motion control systems
in establishing a distribution network in the Americas.

Advising an international textiles company on the acquisition of a
leading Italian denim producer.
- Advising
a commercial real estate developer in the regulatory and contractual
aspects of a commercial shopping mall development, including incorporation
and set-up of the operating company and the ultimate sale of its equity
position to a major Belgian private equity fund in a transaction valued
at approximately €750 million.

Advising minority shareholders in a dispute with a controlling shareholder
for mismanagement of corporate subsidiaries.

Assisting a major Italian medical services company in restructuring
its corporate governance policies.

Advising a group of Dutch investors in contemplated litigation concerning
a major commercial real estate development in Italy.

Advising several Bankruptcy Estates in commercial transactions and
related litigation.

Advising
a fashion apparel company in restructuring its corporate governance
policies and expanding its operations overseas.
Marco has published widely on matters of Italian and European law. He
has been Professor's Assistant of Advanced Corporate Law at the University
of Milan, leading seminars within the Advanced Corporate Law class on
various topics, including limited liability in corporate law (2000, 2002);
the right of appraisal under corporate law (2001); insider trading (2001,
2003); and competition/antitrust (2004). Marco has also completed the
course on financial and credit intermediation and banking law organized
by the Bank of Italy.
Marco is a member of the Arbitration Association for Young Lawyers (Arbitration
Institute of the Stockholm Chamber of Commerce), the Harvard European
Law Association, and the LCIA Young International Arbitration Group (London
Court of International Arbitration).
Marco is licensed to practice law in Italy and the United States, as a
member of the Bergamo and New York bars. He is a native speaker of Italian,
and fluent in English. |
